Reviewing the Lease and verbal advice (For a lease of 30 pages or less)


Verbal advice includes:

  • Key commercial terms
  • Terms which we identify as unusual or onerous
  • Recommended changes

Included

  • Reviewing the Lease terms;
  • Advice regarding the key commercial terms (eg. rent, term etc.) and terms we identify as unusual or onerous to you along with recommendations regarding same;
  • Advice for you to determine whether you require the Lease to be registered at the Titles Office or if the consent of the Landlord’s mortgagee is necessary to obtained (if upon such advice you require us to facilitate registration of the Lease, please note our separate fee for this); and
  • Answering any queries you may have regarding the Lease.

** A service fee of 1.75% of professional fees is in addition to these fees.

Not Included

  • Written advice (if written advice is preferred, see category);
  • Negotiations to the terms of the Lease (see separate negotiations category);
  • For retail leases, the preparation of Lessee Advice Report, Legal Advice Report and Financial Advice Report (see separate category);
  • Advice regarding any Letter of Offer the parties have previously signed; or
  • Registering the Lease at the Titles Office or facilitating registration for you (see separate category).

Registering the Lease at the Titles Office


Included

  • Liaising with you regarding the requirements for registration, including the Titles Office fee and any trust deed;
  • Checking compliance of all documents with the Titles Office requirements; and
  • Lodging the Lease and documents for registration at the Titles Office and providing you and the Lessor with registration confirmation when received.

** A service fee of 1.75% of professional fees is in addition to these fees.

Not Included

  • If a plan of the premises is required, you or the Lessor must liaise with a surveyor to have that plan prepared. The Lease may provide that you are responsible for this cost.
  • A fee will be payable to the Titles Office to register the Lease. The Lease may provide that you are responsible for this cost.
  • If there is a mortgagee of the premises, the Lessor will need to obtain the consent of its mortgagee to the Lease prior to registration.

Facilitating registration of the Lease at the Titles Office by the Lessor


Included

  • Liaising with you regarding the requirements for registration, including the Titles Office fee and any trust deed;
  • Liaising with the Lessor’s solicitor with the requisite information for registration; and
  • Upon the Lessor’s solicitor registering the Lease at the Titles Office, checking and providing you with confirmation of same.

** A service fee of 1.75% of professional fees is in addition to these fees.

Not Included

  • If a plan of the premises is required, the Lessor will need to liaise with a surveyor to have that plan prepared. The Lease may provide that you are responsible for this cost.
  • A fee will be payable to the Titles Office to register the Lease. The Lease may provide that you are responsible for this cost.
  • If there is a mortgagee of the premises, the Lessor will need to obtain the consent of its mortgagee to the Lease prior to registration.

For retail leases – preparation


Verbal advice includes:

  • Lessee Disclosure Statement
  • Legal Advice Report
  • Financial Advice Report

Included

  • Preparing the Lessee Disclosure Statement, Legal Advice Report and Financial Advice Report in compliance with the Retail Shop Leases Act (Qld) and advice to you regarding the effect of same;
  • Signing the Legal Advice Report to attest that we have advised you on the Lease (note: either the verbal or written advice above must be given before we can legally sign this document);
  • Providing an explanation and instructions for your accountant to sign the Financial Advice Report (for you to provide to your accountant).

** A service fee of 1.75% of professional fees is in addition to these fees.

Not Included

  • Advice regarding the Lease itself – this is dealt with separately in the category above;
  • Liaising with your accountant regarding the Financial Advice Report. We will provide you with an explanation and instructions for your accountant and then you are to liaise with your accountant to receive the requisite financial advice and for the accountant to sign the Legal Advice Report.

Negotiating amendments to the Lease with the Lessor (10 or less requested changes)


Example: Requesting 18 changes in one round would be $700 plus GST

Included

  • Taking your instructions as to the specific Lease changes you require;
  • Writing/emailing the Lessor’s solicitor requesting the amendments to the Lease and the basis for the amendments; and
  • Upon receiving the Lessor’s response, advising you in respect of same.

** A service fee of 1.75% of professional fees is in addition to these fees.

Not Included

  • The fee block relates to amendments in a single round of negotiations. If upon receiving the Lessor’s response to changes you require further changes be requested, this is a further round of negotiations with a separate fee block; and
  • Incorporating agreed amendments into the Lease (note that this is typically done by the Lessor).
